Job Description
Uganda Railways Corporation (URC) is seeking a highly qualified and experienced Corporation Secretary to join our executive leadership team in Kampala. This is a senior-level opportunity to play a pivotal role in Uganda's national transport infrastructure development.
As the Corporation Secretary at URC, you will be responsible for ensuring the highest standards of corporate governance, legal compliance, and board administration. You will serve as the principal advisor to the Board of Directors and Management on all legal and governance matters, contributing directly to the strategic direction of one of Uganda's most vital state-owned enterprises.
Key Responsibilities & Duties:
- Provide expert legal advice and ensure compliance with the Companies Act, URC Act, and all relevant Ugandan laws and regulations.
- Organise, attend, and minute all Board and Committee meetings, ensuring proper record-keeping and follow-up on resolutions.
- Manage the company's statutory registers and ensure timely filing of all returns with the Uganda Registration Services Bureau (URSB) and other regulatory bodies.
- Draft, review, and negotiate contracts, agreements, and other legal documents to protect the corporation's interests.
- Serve as the custodian of the corporate seal and all official documents of the corporation.
- Facilitate effective communication between the Board, Management, Shareholders, and other stakeholders.
- Oversee corporate governance practices and ensure adherence to ethical standards and best practices.
Requirements & Qualifications:
- A Bachelor of Laws (LLB) degree from a recognised university. A Master's degree in Law, Business Administration, or Corporate Governance is a strong advantage.
- A Postgraduate Diploma in Legal Practice from the Law Development Centre (LDC) or equivalent.
- Must be an enrolled Advocate of the High Court of Uganda with a valid practicing certificate.
- Minimum of 8-10 years of post-qualification experience, with at least 5 years in a senior corporate secretarial or legal advisory role, preferably within a large public sector organisation or parastatal in Uganda.
- In-depth knowledge of Ugandan corporate law, public procurement, and governance frameworks.
- Exceptional minute-taking, communication, and interpersonal skills.
- High level of integrity, discretion, and professionalism.
