Corporation Secretary Job Opportunity at Uganda Railways Corporation (URC)

Uganda Railways Corporation (URC), the national railway company of Uganda, is seeking a highly qualified and experienced Corporation Secretary to join its executive leadership team in Kampala. This is a senior-level position responsible for providing expert legal counsel, ensuring corporate governance compliance, and managing the corporation's secretarial functions.

Key Responsibilities & Duties:

  • Provide strategic legal advice to the Board of Directors, Management, and all departments of URC.
  • Ensure full compliance with the Companies Act, URC Act, and all other relevant Ugandan laws and regulations.
  • Organise, prepare agendas for, and take minutes of Board and Committee meetings.
  • Maintain statutory books, including registers of members, directors, and secretaries.
  • Manage the filing of statutory returns with the Uganda Registration Services Bureau (URSB) and other regulatory bodies.
  • Oversee corporate governance frameworks and ensure best practices are implemented.
  • Draft, review, and negotiate a wide range of commercial contracts and agreements.
  • Liaise with external regulators, advisers, and stakeholders on legal and governance matters.
  • Advise on employment law, procurement processes, and risk management.

Requirements & Qualifications:

  • A Bachelor of Laws (LLB) degree from a recognised university. A Master's degree in Law, Business Administration, or a related field is an added advantage.
  • Must be an enrolled Advocate of the High Court of Uganda with a valid practising certificate.
  • A Postgraduate Diploma in Legal Practice from the Law Development Centre (LDC) or equivalent.
  • Certified Public Secretary (CPS) qualification or its equivalent is highly desirable.
  • Minimum of 8-10 years of post-qualification experience, with at least 5 years in a senior corporate secretarial or legal advisory role, preferably within a state-owned enterprise or large corporate in Uganda.
  • In-depth knowledge of Ugandan corporate, commercial, and regulatory law.
  • Proven experience in corporate governance and board administration.
  • Excellent communication, negotiation, and interpersonal skills.
  • High level of integrity, professionalism, and discretion.
