Job Description

Uganda Railways Corporation (URC) is seeking a highly qualified and experienced Corporation Secretary to join its leadership team in Kampala. This is a senior executive role responsible for providing expert legal and corporate governance guidance to ensure the corporation's compliance with all statutory and regulatory requirements in Uganda.

As the Corporation Secretary at URC, you will play a critical role in the strategic management of one of Uganda's most vital national assets. You will be the principal advisor to the Board of Directors and Management on all legal, governance, and secretarial matters, ensuring the smooth operation and integrity of the corporation's governance framework.

Key Responsibilities & Duties:
- Serve as the primary advisor to the Board of Directors on corporate governance, legal matters, and compliance with the Companies Act and other Ugandan laws.
- Organise, attend, and minute all Board and Committee meetings, ensuring proper record-keeping and follow-up on resolutions.
- Manage the corporation's statutory registers and ensure timely filing of all returns with the Uganda Registration Services Bureau (URSB) and other relevant authorities.
- Draft, review, and vet contracts, agreements, and other legal documents to protect the corporation's interests.
- Provide legal guidance on commercial transactions, labour relations, and regulatory compliance specific to the transport and railway sector in Uganda.
- Facilitate effective communication between the Board, Management, shareholders, and regulatory bodies.
- Ensure the corporation adheres to best practices in corporate governance and ethical standards.

Requirements & Qualifications:
- A Bachelor of Laws (LLB) degree from a recognised university in Uganda or abroad.
- A Postgraduate Diploma in Legal Practice from the Law Development Centre (LDC) or equivalent.
- Must be an enrolled Advocate of the High Court of Uganda with a valid practising certificate.
- A minimum of 8-10 years of post-qualification experience, with at least 5 years in a senior corporate secretarial or legal advisory role, preferably within a state-owned enterprise or large corporate in Uganda.
- In-depth knowledge of Ugandan corporate law, labour law, and the regulatory environment for public corporations.
- Proven experience in corporate governance and board management.
- Excellent minute-taking, communication, and interpersonal skills.
- High level of integrity, discretion, and professionalism.
